Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and PushNcare, Inc. ("PushNcare," "we," "us," or "our") and govern your access to and use of PushNcare websites, web applications, mobile experiences, dashboards, artificial-intelligence-enabled features, nutritionist marketplace tools, personal health blueprint tools, enterprise audit tools, communications, payment flows, and related services (collectively, the "Platform").

By accessing or using the Platform, creating an account, purchasing a service, submitting an assessment, joining as a nutrition professional, participating in an enterprise audit, or otherwise interacting with PushNcare, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company, clinic, institution, employer, or other organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

2. What PushNcare Provides

PushNcare is a nutrition, dietetics, wellness technology, and practitioner-enablement platform focused on culturally relevant nutrition care, particularly for African and diaspora food contexts.

Depending on availability, account type, location, and eligibility, the Platform may include:

  • patient profiles, dashboards, nutrition preferences, food search, food scanner, supplement and wellness tools;
  • access to nutritionists, dietitians, health coaches, and other wellness professionals;
  • appointment, messaging, reminder, client-management, and practitioner-dashboard tools;
  • AI-assisted food safety checks, nutrition guidance, content generation, health-profile reasoning, and recommendations;
  • Personal Health Blueprint assessments, risk scoring, generated reports, public access links, and practitioner referral flows;
  • storefronts, professional profiles, reviews, lead routing, and referral attribution;
  • payment, subscription, consultation, payout, and mobile money workflows;
  • corporate, enterprise, workplace wellness, audit, survey, report, and analytics features;
  • communications by email, in-app messages, reminders, and support channels.

We may add, change, suspend, limit, or discontinue any feature at any time.


3. Important Health, Nutrition, and Medical Disclaimers

3.1 Not Emergency Care

The Platform is not designed for medical emergencies, urgent medical situations, crisis intervention, or life-threatening conditions. If you think you may have a medical emergency, contact local emergency services immediately.

3.2 Not a Substitute for Medical Care

Unless expressly stated in a separate written agreement, PushNcare does not provide medical diagnosis, medical treatment, emergency care, prescription services, or physician services. Information on the Platform is for nutrition, dietetics, wellness, educational, decision-support, and care-navigation purposes only.

You should consult an appropriately qualified physician or licensed healthcare provider before making decisions that may affect a medical condition, medication, pregnancy, breastfeeding, eating disorder, kidney disease, diabetes, hypertension, cardiovascular disease, allergy, or other clinical condition.

3.3 Nutritionists and Professionals

Nutritionists, dietitians, and other professionals using the Platform are independent users or service providers, not employees or agents of PushNcare unless expressly stated in writing. PushNcare may verify credentials, display profiles, facilitate bookings, route leads, process payments, and provide tools, but we do not guarantee the accuracy, completeness, legality, licensure, clinical judgment, availability, or conduct of any professional.

3.4 AI Limitations

AI-assisted outputs may be incomplete, inaccurate, outdated, biased, non-exhaustive, or unsuitable for your personal circumstances. AI-generated or AI-assisted content is not a medical opinion, diagnosis, treatment plan, or guarantee of health outcomes. You are responsible for using judgment and seeking professional review where appropriate.

3.5 Food, Allergy, and Safety Warnings

Food data, portion guidance, allergen flags, cultural-food recommendations, and nutrient estimates can vary by preparation, region, ingredient source, serving size, and data availability. You are responsible for checking labels, ingredients, allergens, and medical suitability before consuming any food, supplement, or product.


4. Eligibility

You may use the Platform only if you:

  • are at least 18 years old or the age of majority in your jurisdiction;
  • have legal capacity to enter into these Terms;
  • are not prohibited from using the Platform under applicable law;
  • provide accurate, complete, and current information;
  • use the Platform only for lawful purposes.

If you use the Platform for a minor or dependent, you represent that you are the parent or lawful guardian or otherwise have authority to do so, and you accept responsibility for that use.

We may refuse, suspend, or terminate access if we believe you are ineligible, your use is unsafe, unlawful, fraudulent, abusive, or inconsistent with these Terms.


5. Accounts, Authentication, and Security

You may need an account to access certain features. Account authentication may use email/password, Firebase authentication, session cookies, third-party sign-in, administrative access controls, or other secure mechanisms.

You agree to:

  • keep login credentials confidential;
  • maintain accurate account, profile, country, role, contact, and payment information;
  • promptly notify us of unauthorized access or suspected compromise;
  • not share accounts or allow unauthorized persons to use your account;
  • not bypass, disable, tamper with, or interfere with security controls.

You are responsible for all activity under your account unless caused solely by PushNcare's proven security failure.


6. User Roles and Role-Specific Terms

6.1 Patients and Consumers

Patients and consumer users are responsible for the accuracy of health profile information, dietary preferences, allergies, medication disclosures, lifestyle data, assessment answers, food logs, consultation requests, and other information they submit.

You acknowledge that incomplete or inaccurate information may affect recommendations, reports, matching, routing, safety flags, or professional advice.

6.2 Nutritionists, Dietitians, and Professionals

Professionals must:

  • provide truthful credential, education, license, certification, practice, fee, payout, availability, and specialization information;
  • maintain all licenses, registrations, insurance, approvals, and professional qualifications required by applicable law;
  • comply with professional standards, privacy obligations, advertising rules, telehealth rules, and ethical duties;
  • use patient data only for authorized care, support, documentation, and Platform purposes;
  • avoid giving medical advice outside their scope of practice;
  • maintain professional boundaries and timely communication;
  • not misrepresent outcomes, credentials, affiliations, or endorsements.

PushNcare may review, verify, approve, reject, rank, suspend, demote, hide, or remove professional profiles, storefronts, credentials, banners, videos, reviews, lead-routing eligibility, or payout access at our discretion.

6.3 Enterprise, Employer, and Corporate Users

Enterprise features may include surveys, audits, reporting, employee wellness insights, and aggregate analytics. Enterprise users must provide lawful notices, obtain required consents, avoid using the Platform for unlawful employment decisions, and refrain from attempting to identify individuals from anonymous or aggregated outputs unless expressly permitted by law and contract.


7. Personal Health Blueprint and Assessment Reports

Personal Health Blueprint assessments, generated reports, risk scores, referral suggestions, public access links, and related outputs are informational and decision-support tools. They are not a diagnosis, treatment plan, medical device output, emergency triage, or substitute for professional evaluation.

You acknowledge that:

  • assessment results depend on your submitted answers and available data;
  • reports may be generated or assisted by AI systems and automated logic;
  • reports may include probability, risk, nutrition, lifestyle, and referral guidance, not clinical certainty;
  • public access links and tokens should be treated as confidential and shared only with trusted recipients;
  • PushNcare may store assessment events for auditability, fraud prevention, payment reconciliation, and service integrity.

8. Payments, Subscriptions, Billing, and Mobile Money

8.1 Payment Processors

Payments may be processed by third-party providers, including Stripe, PawaPay, mobile money providers, card networks, banks, and other payment partners. We do not control every aspect of third-party payment processing and are not responsible for provider outages, reversals, settlement delays, failed authorizations, chargebacks, mobile network failures, bank delays, or provider-side errors.

8.2 Authorization

By submitting payment information or initiating a mobile money payment, you authorize PushNcare and its payment processors to charge, debit, reserve, settle, refund, or otherwise process amounts owed, including taxes, fees, subscription charges, consultation charges, enterprise charges, or other purchases.

8.3 Subscriptions and Renewals

Subscriptions may renew automatically unless cancelled before renewal in accordance with the applicable cancellation flow. You are responsible for reviewing plan details, billing cycles, pricing, renewal dates, and cancellation terms before purchase.

8.4 Prices, Taxes, and Currency

Prices may be shown in local or supported currencies and may exclude taxes, duties, levies, telecom fees, mobile money fees, exchange fees, or bank charges. You are responsible for applicable taxes and third-party charges unless expressly stated otherwise.

8.5 Refunds

Unless required by law or expressly stated in a separate refund policy or order page, fees are non-refundable once a digital service, consultation, report, subscription period, enterprise service, or paid feature has been made available, started, generated, delivered, or consumed. We may issue refunds, credits, or exceptions at our sole discretion.

8.6 Practitioner Earnings and Payouts

Professionals are responsible for taxes, payout details, compliance, bank or mobile money accuracy, and any professional or business registration requirements. PushNcare may withhold, delay, offset, reverse, or refuse payouts where required for fraud prevention, disputes, chargebacks, sanctions screening, compliance, incorrect payment details, or suspected Terms violations.


9. Acceptable Use

You must not:

  • violate any law, regulation, professional rule, or third-party right;
  • submit false, misleading, harmful, discriminatory, defamatory, illegal, or abusive content;
  • upload malware, exploit code, or harmful files;
  • scrape, crawl, copy, harvest, or extract Platform data without written permission;
  • reverse engineer, probe, scan, penetration test, overload, or bypass security controls without authorization;
  • use the Platform to create competing products or train competing AI systems;
  • impersonate another person, professional, company, or authority;
  • manipulate ratings, reviews, referrals, commissions, lead routing, payments, promotions, or search ranking;
  • misuse health, patient, employee, or practitioner data;
  • use automated systems, bots, scripts, or fake accounts without permission;
  • interfere with Platform operation, integrity, monitoring, logging, billing, or availability;
  • use the Platform for emergency medical care or unlawful clinical practice.

We may investigate suspected misuse and take any action we consider appropriate, including content removal, account suspension, termination, reporting to authorities, or legal action.


10. User Content and Feedback

"User Content" includes information, text, images, assessments, profile details, reviews, messages, survey answers, notes, uploaded documents, storefront content, videos, banners, feedback, and other materials you submit.

You retain ownership of your User Content, subject to the rights granted below. You grant PushNcare a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, display, transmit, adapt, translate, create derivative works from, and otherwise use User Content as necessary to:

  • provide, secure, operate, support, and improve the Platform;
  • generate assessments, reports, recommendations, analytics, and service outputs;
  • facilitate bookings, consultations, messages, referrals, payments, reviews, and enterprise reporting;
  • comply with law, enforce these Terms, and prevent fraud or harm;
  • develop aggregated, de-identified, or anonymized insights.

If you provide suggestions, ideas, or feedback, we may use them without restriction or compensation.

You represent that you have all rights and permissions necessary to submit User Content and that it does not violate law or third-party rights.


11. PushNcare Intellectual Property

The Platform, software, interfaces, designs, workflows, databases, taxonomies, prompts, models, model orchestration, reports, scoring logic, food intelligence, analytics, trademarks, logos, brand assets, documentation, and content are owned by PushNcare or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your authorized personal, professional, or enterprise purposes. No rights are granted except as expressly stated.

You must not copy, resell, redistribute, modify, reverse engineer, decompile, create derivative works from, remove notices from, or commercially exploit the Platform without written permission.


12. Data, Privacy, and Security

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information.

You acknowledge that the Platform may process personal information, health-related information, nutrition data, payment metadata, professional credentials, enterprise survey data, device data, analytics data, and communications. Processing may involve Google Cloud, Firebase, Firestore, PostgreSQL, BigQuery, Cloud Storage, Secret Manager, SendGrid, Stripe, PawaPay, Google AI services, and other infrastructure or subprocessors.

We use reasonable administrative, technical, and organizational measures designed to protect data, including authentication, access controls, encryption in transit, selected encryption at rest, secrets management, logging, backups, and monitoring. However, no system is perfectly secure, and we do not guarantee absolute security.

You are responsible for using strong passwords, protecting devices, limiting public link sharing, and ensuring lawful disclosure of third-party data.


13. Third-Party Services and Links

The Platform may integrate with or link to third-party services, including payment processors, mobile money networks, authentication providers, email providers, cloud providers, analytics tools, AI providers, video or communication tools, maps, app stores, social platforms, and external websites.

Third-party services are governed by their own terms, policies, availability, and security practices. PushNcare is not responsible for third-party acts, omissions, outages, content, fees, policies, or data practices except as required by law.


14. Beta, Experimental, and AI Features

Some features may be labelled or function as beta, preview, experimental, pilot, limited-availability, or AI-assisted features. Such features may change, fail, produce unexpected results, be withdrawn, or be subject to additional limits.

You agree not to rely on beta, experimental, or AI-assisted outputs as your sole basis for medical, clinical, financial, legal, employment, or safety decisions.


15. Availability, Modifications, and Support

We may modify, suspend, throttle, limit, replace, or discontinue any part of the Platform. We may impose usage limits, feature flags, access controls, geographic restrictions, maintenance windows, or eligibility requirements.

We do not guarantee uninterrupted availability, error-free operation, compatibility with all devices, continuous support, permanent storage, or access in every country.


16. Suspension and Termination

We may suspend, restrict, or terminate your access immediately, with or without notice, if we believe:

  • you violated these Terms or applicable law;
  • your account, conduct, content, payments, professional activity, or enterprise use creates risk;
  • required verification, consent, payment, or compliance information is missing or invalid;
  • continuing access may harm PushNcare, users, professionals, partners, infrastructure, or the public.

You may stop using the Platform at any time and may request account deletion through available settings or support channels. Some information may be retained as described in the Privacy Policy, including records needed for legal, tax, payment, security, dispute, professional, audit, or compliance purposes.

Sections intended to survive termination will continue, including ownership, licenses, disclaimers, limitations of liability, indemnity, dispute resolution, payment obligations, and compliance provisions.


17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT, REPORTS, AI OUTPUTS, PROFESSIONAL PROFILES, FOOD DATA, RECOMMENDATIONS, ENTERPRISE INSIGHTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

PUSHNCARE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not guarantee health outcomes, weight outcomes, disease outcomes, appointment availability, practitioner quality, payment success, payout timing, enterprise results, AI accuracy, report completeness, or uninterrupted access.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.


18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUSHNCARE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; BUSINESS INTERRUPTION; REPUTATIONAL HARM; PERSONAL INJURY ARISING FROM UNAUTHORIZED OR IMPROPER USE; OR DAMAGES ARISING FROM THIRD-PARTY SERVICES, PROFESSIONAL CONDUCT, AI OUTPUTS, PAYMENT PROVIDERS, OR PLATFORM UNAVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUSHNCARE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • the amount you paid directly to PushNcare for the service giving rise to the claim during the three (3) months before the event giving rise to liability; or
  • USD $100.

The limitations apply regardless of legal theory, even if a remedy fails of its essential purpose.


19. Indemnification

You agree to defend, indemnify, and hold harmless PushNcare and its directors, officers, employees, contractors, affiliates, licensors, suppliers, and partners from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

  • your use or misuse of the Platform;
  • your User Content;
  • your violation of these Terms, law, professional duties, privacy duties, or third-party rights;
  • your health, nutrition, clinical, employment, enterprise, or payment decisions;
  • your interaction with another user, professional, patient, employee, employer, or third party;
  • your negligence, fraud, wilful misconduct, or unauthorized disclosure of information.

We may control the defense of any matter subject to indemnification, and you agree to cooperate.


20. Governing Law, Arbitration, and Dispute Resolution

20.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.

20.2 Informal Resolution

Before filing a claim, you agree to email legal@pushncare.com with your name, account email, a description of the dispute, and the relief sought. The parties will attempt to resolve the dispute informally for thirty (30) days.

20.3 Binding Arbitration

Except for excluded claims below or where prohibited by law, disputes arising from or relating to these Terms or the Platform will be resolved by final and binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association or another mutually agreed provider under applicable commercial or consumer rules.

20.4 Class Action and Jury Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PUSHNCARE WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR CONSOLIDATED PROCEEDING.

20.5 Excluded Claims

Either party may bring claims in court for intellectual-property infringement, unauthorized access, misuse of confidential information, injunctive relief, small claims matters, or claims that cannot lawfully be arbitrated.


21. Export, Sanctions, and Anti-Corruption

You may not use the Platform if you are located in, ordinarily resident in, controlled by, or acting on behalf of a sanctioned country, entity, or person, or if your use would violate export control, sanctions, anti-money-laundering, anti-bribery, anti-corruption, or similar laws.

You agree not to use the Platform to facilitate illegal payments, fraud, bribery, kickbacks, money laundering, terrorist financing, or sanctions evasion.


22. Changes to These Terms

We may update these Terms from time to time. Updated Terms are effective when posted unless a later date is stated. Material changes may be communicated by email, in-app notice, website notice, or other reasonable means.

Your continued use of the Platform after changes become effective means you accept the updated Terms. If you do not agree, you must stop using the Platform.


23. General Terms

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, are the entire agreement between you and PushNcare regarding the Platform.

If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign or transfer these Terms, rights, or obligations in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or by operation of law.

We are not liable for delay or failure caused by events beyond our reasonable control, including network failures, cloud-provider outages, payment-provider outages, mobile-network failures, labour disputes, pandemics, war, civil unrest, government action, natural disasters, or security incidents.
