Welcome to PushNcare. These Terms of Service ("Terms") govern your access to and use of the PushNcare platform, including our website, mobile applications, and all related services (collectively, the "Platform"). Please read these Terms carefully before using our services.

By accessing or using PushNcare, you agree to be bound by these Terms. If you do not agree, please do not use our Platform.

1. About PushNcare

PushNcare, Inc. ("PushNcare," "we," "us," or "our") is an AI-powered nutrition platform designed to connect individuals ("Patients" or "Users") with certified nutritionists and dietitians ("Nutritionists" or "Providers") across Africa. Our mission is to make personalized nutrition care accessible, culturally relevant, and affordable for everyone.

2. Eligibility

To use PushNcare, you must:

  • Be at least 18 years old, or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information
  • Not be barred from using the Platform under applicable law

If you are using the Platform on behalf of a minor (as their parent or legal guardian), you accept these Terms on their behalf and are responsible for their use of the Platform.

3. Description of Services

3.1 For Patients

PushNcare provides access to:

  • Personalized Nutrition Plans: AI-generated and nutritionist-reviewed meal plans tailored to your health goals, dietary preferences, and cultural background
  • Nutritionist Consultations: Virtual consultations with certified nutritionists via chat, video, or voice calls
  • Food Database: Access to our African-focused food intelligence database with nutritional information for traditional and regional foods
  • Progress Tracking: Tools to monitor your nutrition journey, including meal logging and health metrics
  • AI-Powered Insights: Personalized recommendations based on your health profile and goals

3.2 For Nutritionists

PushNcare provides:

  • Client Management: Tools to manage patient relationships, create nutrition plans, and track client progress
  • Revenue Generation: Opportunities to earn income through consultations and plan creation
  • Knowledge Base: Access to contribute to and benefit from our collective nutrition intelligence
  • Professional Dashboard: Comprehensive analytics and business management tools

3.3 Important Medical Disclaimer

PushNcare is NOT a medical service. Our Platform provides nutritional information and guidance for general wellness purposes only. Our services:

  • Are not a substitute for professional medical advice, diagnosis, or treatment
  • Should not be used to diagnose or treat any medical condition
  • Do not establish a doctor-patient relationship
  • Are not intended for emergency or life-threatening situations

Always consult a qualified healthcare provider before making significant dietary changes, especially if you have existing health conditions, are pregnant or nursing, or are taking medications.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing:

  • A valid email address
  • Accurate personal information
  • A secure password

You may also register using third-party authentication services (e.g., Google Sign-In).

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We recommend enabling two-factor authentication where available.

4.3 Account Accuracy

You agree to:

  • Provide truthful, accurate, and complete information
  • Update your information to keep it current
  • Not impersonate any person or entity
  • Not create multiple accounts for fraudulent purposes

5. Nutritionist Terms

5.1 Verification and Credentials

Nutritionists on our Platform must:

  • Hold valid professional credentials (degree, certification, or license)
  • Submit documentation for verification during onboarding
  • Maintain active professional standing throughout their engagement
  • Comply with applicable professional standards and ethics

5.2 Professional Responsibilities

Nutritionists agree to:

  • Provide accurate, evidence-based nutritional guidance
  • Respect patient confidentiality and privacy
  • Respond to client inquiries in a timely manner
  • Maintain professional boundaries with clients
  • Not provide medical advice or diagnose medical conditions

5.3 Revenue and Payments

  • Nutritionists earn revenue based on completed consultations and approved nutrition plans
  • Payment terms and commission structures are detailed in the Nutritionist Agreement
  • PushNcare processes payments through secure third-party payment providers
  • Earnings are subject to applicable taxes, which are the responsibility of the Nutritionist

6. Payments and Subscriptions

6.1 Pricing

PushNcare offers various pricing tiers:

  • Free Tier: Limited access to basic features
  • Premium Subscriptions: Enhanced features with monthly or annual billing
  • Pay-Per-Service: Individual consultations and plans

All prices are displayed in your local currency where available (NGN, KES, ZAR, or USD).

6.2 Payment Methods

We accept:

  • Credit and debit cards (Visa, Mastercard)
  • Mobile money (M-Pesa, MTN Mobile Money, Airtel Money)
  • Bank transfers (where available)

6.3 Billing and Renewals

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You will be notified before any price changes take effect
  • Refund policies vary by service type and are detailed in our Refund Policy

6.4 Taxes

Prices may be exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

7. User Conduct

7.1 Acceptable Use

You agree to use PushNcare only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable law or regulation
  • Infringe on the rights of others
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the Platform's operation or security
  • Use automated systems (bots, scrapers) without permission
  • Harass, abuse, or harm other users or Nutritionists

7.2 Content Standards

Any content you submit must not:

  • Be false, misleading, or deceptive
  • Contain malware, viruses, or harmful code
  • Violate intellectual property rights
  • Include personal information of others without consent
  • Promote illegal activities or substances

7.3 Enforcement

We reserve the right to:

  • Remove or modify content that violates these Terms
  • Suspend or terminate accounts for violations
  • Report illegal activities to appropriate authorities
  • Take legal action to protect our rights and users

8. Intellectual Property

8.1 PushNcare Ownership

The Platform and its contents, including but not limited to:

  • Software, code, and algorithms
  • AI models and machine learning systems
  • User interface and design elements
  • Logos, trademarks, and brand assets
  • Nutrition database and content
  • Documentation and educational materials

are owned by PushNcare or our licensors and protected by intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

8.3 User Content

By submitting content to PushNcare (e.g., reviews, photos, feedback), you grant us a worldwide, royalty-free, perpetual license to use, modify, display, and distribute such content in connection with our services.

8.4 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer or decompile our software
  • Remove copyright or proprietary notices
  • Use our trademarks without written permission
  • Resell or redistribute Platform content

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.1 Data Processing

By using PushNcare, you consent to:

  • Collection of health and dietary information to provide personalized services
  • Processing of data by our AI systems to generate recommendations
  • Sharing of relevant information with your chosen Nutritionist
  • Use of anonymized, aggregated data for research and improvement

9.2 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Secure authentication mechanisms
  • Regular security audits and assessments
  • Compliance with applicable data protection regulations

10. Third-Party Services

10.1 Integration Partners

PushNcare integrates with third-party services for:

  • Payment processing (Stripe, mobile money providers)
  • Authentication (Google, Firebase)
  • Communication (video conferencing, messaging)
  • Analytics and performance monitoring

10.2 Third-Party Terms

Your use of integrated third-party services is subject to their respective terms and privacy policies. PushNcare is not responsible for third-party services or content.

The Platform may contain links to external websites. We do not endorse or control these sites and are not responsible for their content or practices.

11. Disclaimers and Limitations

11.1 Service Availability

The Platform is provided "AS IS" and "AS AVAILABLE." We do not guarantee:

  • Uninterrupted or error-free service
  • Accuracy or completeness of information
  • Compatibility with all devices or systems
  • Availability in all geographic locations

11.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUSHNCARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of AI-generated content

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUSHNCARE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use of or inability to use the Platform
  • Actions or omissions of Nutritionists on the Platform

Our total liability shall not exceed the amount you paid to PushNcare in the twelve (12) months preceding the claim.

11.4 Indemnification

You agree to indemnify and hold harmless PushNcare, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your use of the Platform
  • Your content or submissions
  • Your violation of any rights of another

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@pushncare.com to attempt informal resolution. We will endeavor to resolve disputes within thirty (30) days.

12.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

12.4 Exceptions

The following disputes are exempt from arbitration:

  • Small claims court actions
  • Intellectual property disputes
  • Injunctive relief for ongoing harm

13. Termination

13.1 By You

You may terminate your account at any time by:

  • Using the account deletion feature in settings
  • Contacting support at support@pushncare.com

13.2 By PushNcare

We may suspend or terminate your account:

  • For violation of these Terms
  • For fraudulent or illegal activity
  • For extended periods of inactivity
  • For non-payment of fees
  • At our discretion with reasonable notice

13.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • Pending payments will be processed according to our policies
  • Certain provisions of these Terms will survive termination
  • You may request a copy of your data before account deletion

14. Changes to Terms

We may modify these Terms at any time. Changes will be effective when posted, with material changes communicated via:

  • Email notification
  • In-app notification
  • Prominent notice on the Platform

Continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PushNcare.

15.5 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.

15.6 Force Majeure

PushNcare shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control.
